Terms of service

Last updated: 2026-10-01. These terms govern the use of Verdana eSign, an electronic-signature service operated by A Software Company LLC. By creating an account, using the API, connecting an AI agent or signing a document, you accept the terms that apply to you.

Definitions

  • Customer or sender: whoever contracts the service to send documents for signature.
  • Signer: the person who receives a document to sign. Signers do not pay for the service.
  • Request: a document sent for signature with its signers.
  • Evidence: the signed document, the evidence certificate, the event chain, timestamps, anchors and the evidence package.
  • AI agent: an artificial-intelligence program that uses the service on the customer's behalf, through MCP or the API.

The service

Verdana eSign lets you send documents for electronic signature, verify signers' identity (personal data, one-time code by email and, if the sender requests it and the signer authorizes it, a photo of the ID document and a liveness video), sign the document and keep the evidence in a form third parties can verify.

The service provides electronic signatures with traceability, an audit trail and immutable evidence integrity. It does not include issuing digital signature certificates, unless an agreement with the customer expressly says so. The evidentiary value in each country is explained on the country pages of this site.

Account, API keys and AI agents

  • The customer is responsible for keeping credentials and API keys confidential and for all activity performed with them, including by its AI agents.
  • We recommend a separate key per person or agent, with the minimum permissions needed.
  • AI agents act on the customer's behalf. The customer must supervise them and is responsible for their actions.
  • No AI agent may sign on behalf of a person or try to obtain a person's signing links, OTP codes or data to do so. Doing so is a material breach of these terms.

Sender obligations

The sender agrees to:

  1. Have a legal basis to process its signers' data and provide accurate data.
  2. Use electronic signatures only for documents that applicable law allows to be signed this way. Some acts (for example wills, certain family-law acts or real-estate transfers) may require formalities this service does not replace.
  3. Choose a verification level suited to the document's risk. For promissory notes and high-value documents we recommend reinforced verification.
  4. Not make signing conditional on the signer providing biometric data, and handle requests for alternative verification.
  5. Not send unlawful or misleading content or content that infringes third-party rights.

Signer obligations

The signer agrees to sign personally, with true data and from their own device, without delegating the signature to another person or to an AI agent or automated system, and not to share their personal link or codes.

  • We keep each signature's evidence for the agreed retention period (10 years by default) in write-once storage.
  • The customer can download the signed document, the evidence certificate and the evidence package during the contract and the retention period.
  • The evidence is designed so an expert can verify it without relying on us. However, the admissibility and weight of a signature are decided by the competent authority in each case. We do not guarantee any judicial outcome.

Data protection

Personal data is processed under our privacy policy. When we act as processor on the sender's behalf, the data processing agreement signed with the sender also applies.

Availability and support

We make reasonable efforts to keep the service available. Service levels, if agreed, are set out in the customer contract [COMPLETE].

Fees

Prices and payment terms are set out in the customer's plan or contract [COMPLETE]. Signing is free for signers.

Intellectual property

The Verdana eSign software is owned by A Software Company LLC. The service uses open-source components under their own licenses, including Documenso (AGPLv3) as the signing platform, used without modification. Customers keep all rights to their documents.

Prohibited use

You may not: impersonate another person; bypass identity verification or automation detection; use the service for fraud or unlawful documents; attack, overload or attempt unauthorized access to the infrastructure; or use AI agents to sign on behalf of people.

Suspension and termination

We may suspend an account for prohibited use, a security risk or an order from an authority, notifying the customer unless the law prevents it. When the contract ends, the customer can download its evidence; we keep evidence already generated for the retention period because of legal retention obligations.

Liability

To the extent permitted by applicable law, our total liability to the customer is limited to [COMPLETE: e.g., fees paid in the previous 12 months]. We are not liable for indirect damages. These limitations do not apply to fraud, gross negligence or consumers' non-waivable rights.

Changes to these terms

We will publish changes on this page with their date and notify customers [COMPLETE: 30] days in advance of significant changes.

Governing law and disputes
